Terms of Service

1. Who you are contracting with

Verra is operated by SME Digital ("SME Digital", "we", "us"). By creating an account or using Verra, you ("you" or "Customer") enter into a binding agreement with SME Digital. If you use Verra on behalf of an organisation, you confirm you have authority to bind that organisation.

2. Acceptance

By creating an account or continuing to use Verra, you agree to these Terms. Verra is a workspace for independent expertise-based operators to manage contacts, deals, proposals, invoices, and related business operations.

3. Merchant of Record (Paddle)

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax collection, invoicing, subscription management, cancellations, and refunds are governed by Paddle's Buyer Terms, available at https://www.paddle.com/legal/checkout-buyer-terms, which apply to your purchase in addition to these Terms.

4. Subscription and billing

Verra is offered at $29/month or $299/year following a 30-day free trial. Subscriptions renew automatically at the then-current price until cancelled. You can cancel at any time from your account; cancellation takes effect at the end of the current billing period, after which access becomes read-only as described in your account. Payments, taxes, refunds, and invoicing are handled by Paddle as Merchant of Record (see Section 3).

5. Acceptable use

You agree not to: (a) use Verra for unlawful purposes; (b) infringe intellectual property or privacy rights; (c) upload or transmit malware, spam, or fraudulent content; (d) attempt to breach security, probe, scan, or interfere with the service; (e) scrape, reverse engineer, or attempt to derive source code; (f) resell, sublicense, or redistribute the service; or (g) circumvent technical limits. You are responsible for the content you store in your workspace and for activity under your account.

6. Account credentials and accuracy

You must keep your login credentials confidential and provide accurate, up-to-date account information. You are responsible for all activity under your account.

7. Intellectual property

SME Digital retains all right, title, and interest in and to the Verra platform, software, documentation, branding, and all related intellectual property. We grant you a limited, non-exclusive, non-transferable right to use the service in accordance with your subscription plan. You retain ownership of the content you upload to your workspace and grant us a limited license to host and process it solely to provide the service.

8. Service availability and warranties

Verra is provided on an "as is" and "as available" basis. We do not guarantee that the service will be uninterrupted, error-free, or meet every requirement. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the fullest extent permitted by law, SME Digital's aggregate liability arising out of or relating to these Terms or the service is limited to the fees you paid for Verra in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, special, incidental, or punitive damages, including loss of profits, data, revenue, or goodwill. Nothing in these Terms excludes liability that cannot be excluded under applicable law (e.g. fraud, death, or personal injury caused by negligence).

10. Indemnity

You will indemnify and hold SME Digital harmless from claims arising out of your content, your use of the service in violation of these Terms, or your violation of applicable law or third-party rights.

11. Suspension and termination

You may close your account at any time. We may suspend or terminate access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, you may export your data for a reasonable period before deletion.

12. Changes to the service or terms

We may modify the service or these Terms from time to time. Material changes will be communicated in-product or by email. Continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which SME Digital is established, without regard to conflict-of-laws principles. Disputes will be resolved in the competent courts of that jurisdiction, unless a mandatory consumer-protection rule provides otherwise.
